SAMPLE License to Utilize Space Agreement
  
 This Non-transferable license to utilize space agreement (“License Agreement”) is made and entered into _______________ by and between                      (“Licensee”) and Assumption Catholic Church, Mattese (“Licensor”) for the use of space as defined below located on the Parish property.
 The conditions for the above agreement are as follows:

1. Licensor has the sole right to determine who may and may not use the facility.
2. Unacceptable behavior, including but not limited to any activity which is not in accordance with the teachings of the Roman Catholic Church by Licensee or Licensee’s guests is prohibited.  Licensee acknowledges that adherence to this prohibition is a condition of granting this license and warrants there will be no such activity during the grant of the License.
3. Licensee shall pay the sum of _____________ (“License Fee”) to Licensor as follows: upon the execution of this License Agreement, Licensee shall pay a non-refundable fee which equals $________ and thereafter, Licensee shall provide the balance of the License Fee that is due no later than ______________.   Checks shall be made payable to: Assumption Catholic Church.  Licensee’s reservation and use of facility is not firm until deposit and signed agreement have been received by Assumption Catholic Church.
4. In addition to the License Fee in paragraph 3 above, upon execution of this License Agreement, Licensee shall forward a separate payment in the amount of $ ________ as a cleaning fee deposit which, if, in the sole discretion of Licensor, the FACILITY premises are left in acceptable condition, will be refunded within 10 business days after the event.  This payment should be made payable to Assumption Catholic Church.
5. Licensee assumes full responsibility for the conduct of the person(s) whom Licensee admits and for any breach of this License Agreement.  Licensee will be held responsible for any damages to property or injury to persons, resulting from the use of the licensed space during the License.  If damage occurs, it will be repaired or compensated to the satisfaction of Licensor at the sole expense of Licensee.
6. Licensee shall procure, at Licensee’s cost, Commercial General Liability Insurance coverages with minimum limits of $1,000,000 single occurrence, $2,000,000 in the aggregate and shall name Licensor as an additional insured on said coverages.  Licensee shall provide a Certificate of Insurance evidencing such insurance coverage at least 10 days prior to use of facility.  
7. No unlawful conduct or activities will be permitted on the premises.  All use of the facilities are subject to the attached Rules and Regulations.
8. Any distribution or consumption of alcoholic beverages must adhere to all applicable federal, state and local laws as well as Assumption Catholic Church Policy.   In accordance with regulations governing our liquor license, any beer/alcohol served in the Parish Center must be obtained only from a licensed distributor, it cannot be purchased from retailers.  No alcohol may be served or consumed outdoors on Assumption Parish property.
9. Smoking is not permitted in the facility or on parish grounds.
10. Anyone under 18 (eighteen) years of age must be accompanied by an adult.
11. Licensee hereby agrees to hold harmless and indemnify Licensor, Assumption Catholic Church, Mattese, St Louis County Catholic Church Real Estate Corporation, the Archbishop of St. Louis and their respective officers, directors, members, employees and agents from any and all liabilities and claims for damages arising from or by reason of injury to any person or persons whatsoever, from any cause whatsoever while in or upon Licensor’s premises or any part thereof during the term of this contract or occasioned by any occupancy or use of the FACILITY in connection with any activity of Licensee, except those resulting from the sole or gross negligence of the indemnified parties, their officers, directors, or employees.
12. The facility will be available to the licensee at ______ AM/PM on ________________ and Licensee is responsible for the facility and contents of from ________ AM/PM to _________ AM/PM during License Date.   Licensee will finish all cleanup, removal of licensee property , and will vacate the facility by ________AM/PM on _____________.
13. If necessary, it is the responsibility of the Licensee to pick the key up from the Parish Office on the Friday before the event between the hours of 8:30 a.m. and 4:30 p.m. Licensee is responsible for unlocking the facility at the beginning of the time period during which licensee has been licensed to utilize the space as well as for locking and securing the facility at the conclusion of the licensed period.   The key must be returned to the Rectory immediately following the event.  There is a return slot to the right of the Rectory main door for returning keys outside of normal office hours.
14. UNACCEPTABLE BEHAVIOR WILL NECESSITATE THE IMMEDIATE CLOSING OF THE FACILITY AND THE VACATING OF THE PREMISES BY LICENSEE AND LICENSEE’S GUESTS.  This will also result in no refunds of fees or deposits.
15. A REPRESENTATIVE OF LICENSEE MUST BE PRESENT FOR THE WHOLE DURATION OF THE EVENT/ACTIVITY.   The Parish’s representatives will decide to end the event if the Licensee or Licensee’s representative is not present.
16. Licensee shall leave the facility in the same condition as found. Licensor shall provide routine janitorial services for the space.  If event is outside of normal weekday business hours, no janitorial staff will be on-site.

     Rules and Regulations
    
17. No firearms are allowed on the Licensor’s property.
18. Licensor’s property is a NON-SMOKING campus including all parking lots, grounds, walkways and buildings.
19. Unless otherwise stated, Licensee is responsible for clearing all tables and putting all trash in trash cans provided.
20. Licensee is responsible for any damages to property during use.
21. Licensee’s reservation and use of facility is not firm until deposit and signed contract have been received and accepted by Assumption Catholic Church, Mattese.
22. Contract once accepted is firm and deposit is non-refundable.  Cancellation of contract is at the discretion of the Licensor.   Licensee must notify the parish 24 hours before the event to cancel.   Parish will work with Licensee to re-schedule event, but cannot guarantee availability of future dates.
23. In the event of cancellation due to inclement weather, Licensee may reschedule event within one year of originally scheduled date, depending on availability of facility, without penalty, at the discretion of the Licensor.  Licensee must notify the parish by 4 pm the day before event to cancel due to inclement weather.
24. In no event shall the Licensor be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism. 
25. Facility is available to Licensee on date and times shown on contract.   If Licensee requests additional times, Licensor will work with Licensee, however availability is not guaranteed, and additional charges may apply.
26. The Licensor will have an authorized individual on campus at all times during Licensee’s event. Licensee will be provided with emergency contact for this individual during event.
27. Licensee must obtain written approval of Licensor for any signs or decorations outside buildings or spaces being used.   Approved signs or decorations must be removed by Licensee before leaving facility.
28. Decorations within building or room being used are permitted but must be removed by Licensee and cannot leave mark, paint or damage to Licensor’s facility. Helium balloons must be firmly anchored and not released within building.  Decorations may not be attached to painted walls with tape of any type.  Tape of any type on floors is specifically not allowed.
29. Parking for event is available in our main parking lot and surrounding our Parish Center.   Parking is authorized during events only.   All vehicles should be removed after event.   Parking during Mass times may be limited.
